1. Introduction
Welcome to Velotrade. These Terms and Conditions ("Terms") govern your access to and use of the website, applications, and services (collectively, the "Services") provided by Velotrade Re Limited ("Velotrade", "we", "us", or "our"), a company incorporated in Hong Kong.
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
These Terms should be read together with our Rules, FAQs, and Risk Disclosures, published on the Velotrade website, which form part of the contractual agreement between you and Velotrade. In the event of any conflict or discrepancy between these Terms and the Rules, FAQs, or Risk Disclosures, these Terms shall prevail.
We reserve the right to amend these Terms at any time. Material changes will be notified via the website or email. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
2. Definitions
In these Terms:
- "Account" means your registered user account on our platform.
- "Challenge" means the trading evaluation programme you purchase to demonstrate your trading skills.
- "Client Section" means the dashboard or portal through which you access the Services.
- "Evaluation" means a 1-Step or 2-Step Challenge evaluation.
- "Fee" means the fee payable for a Challenge.
- "Funded Account" means a simulated trading account provided to successful Traders.
- "Funded Trader" or "Trader" means a user who has successfully completed an Evaluation and has been offered and accepted a Funded Account.
- "Payout" means a distribution of simulated profits to a Funded Trader.
- "Prohibited Person" has the meaning set out in clause 3.3.
- "Restricted Territory" means any jurisdiction listed in Schedule 1 or designated by applicable sanctions laws.
- "Services" means the Challenge programmes, Funded Accounts, trading platform access, and all related services.
- "Simulated Trading" means trading on demo accounts using real market data in a non-live environment.
- "Trading Platform" means the third-party trading software (e.g., DXtrade) through which you execute trades.
3. Eligibility
3.1 The Services are available only to individuals who are at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
3.2 By using the Services, you represent and warrant that:
- (a) You are at least 18 years of age;
- (b) All registration information you provide is truthful, accurate, and complete;
- (c) You will maintain the accuracy of such information;
- (d) Your use of the Services does not violate any applicable law, regulation, or treaty;
- (e) You are not a Prohibited Person; and
- (f) You are not located in, a resident of, or organised in a Restricted Territory.
3.3 A "Prohibited Person" means any person or entity that is:
- (a) The subject of economic or trade sanctions administered by any governmental authority, including persons on the UN Security Council Consolidated List, EU Consolidated List, UK Consolidated List of Financial Sanctions Targets, US Treasury OFAC SDN List, or US Commerce Department Denied Persons List;
- (b) Located, resident, or organised in a Restricted Territory; or
- (c) Owned or controlled by any person or entity described in (a) or (b).
3.4 If you do not meet these requirements, you must not access or use the Services.
4. Account Registration
4.1 To access the Services, you must create an Account by completing our registration process and providing accurate information, including identity verification documents as requested.
4.2 You are responsible for:
- (a) Maintaining the confidentiality of your Account credentials;
- (b) All activities that occur under your Account; and
- (c) Notifying us immediately of any unauthorised access or security breach.
4.3 You may maintain only one Account. Creating multiple Accounts is prohibited and may result in termination of all Accounts without refund.
4.4 We reserve the right to refuse registration, suspend, or terminate any Account at our sole discretion, with or without notice.
5. Services Overview
5.1 Nature of Services
Velotrade provides trading skill assessment programmes (Challenges) and, for successful participants, access to Funded Accounts. All trading occurs in a simulated environment using demo accounts with real market data. No live trading or real capital is involved.
5.2 Challenge Structure
We offer the following Challenge types:
- (a) 1-Step Challenge: A single-phase evaluation with specified profit targets and drawdown limits.
- (b) 2-Step Challenge: A two-phase evaluation (Challenge and Verification) with specified profit targets and drawdown limits for each phase.
Full specifications, including profit targets, drawdown limits, and other parameters, are set out on our website and may be updated from time to time.
5.3 Funded Accounts
Upon successful completion of an Evaluation:
- (a) We may, at our sole discretion, offer you a Funded Account;
- (b) An offer of a Funded Account is not guaranteed, regardless of Evaluation performance;
- (c) If offered, you must accept or decline within 30 days; failure to respond will be deemed a rejection;
- (d) Funded Accounts are simulated trading accounts; you will not trade with real capital.
5.4 Profit Split and Payouts
- (a) Funded Traders are entitled to a share of simulated profits (the "Profit Split") as specified on our website;
- (b) The first Payout request may be made after 14 calendar days from the first trade on the Funded Account;
- (c) Subsequent Payouts may be requested weekly;
- (d) Minimum Payout amount is USD 100 (or equivalent);
- (e) Payouts are processed within 24 hours of approval in USDC or USDT;
- (f) Early Payouts (first and second) are subject to caps as specified on our website;
- (g) Velotrade reserves the right to withhold, delay, or decline Payouts where there is suspected breach of these Terms, Prohibited Trading, or fraudulent activity.
6. Fees and Payment
6.1 Fees for Challenges are displayed on our website and are payable in full before access to the Trading Platform is granted.
6.2 Fees are non-refundable once you have accessed the Trading Platform or placed your first trade, except where expressly required by law.
6.3 If you do not activate your Challenge within 30 days of payment, access may be suspended. You may request reactivation within 6 months; after this period, the Challenge expires without refund.
6.4 Fees and Challenge parameters may change at any time. Changes do not affect Challenges purchased before the change.
6.5 Filing an unjustified chargeback or payment dispute after accessing the Services is a material breach of these Terms and may result in immediate termination of your Account, forfeiture of any pending Payouts, and pursuit of legal remedies.
7. Simulated Trading — Important Notice
7.1 All trading on the Trading Platform is simulated. You are not trading real money or financial instruments. The Trading Platform uses demo accounts that mirror real market conditions but do not involve live execution.
7.2 Simulated trading results do not guarantee future performance. Trading involves significant risk, and past performance is not indicative of future results.
7.3 We make no representations or warranties regarding the accuracy, completeness, or reliability of market data, pricing, or execution on the Trading Platform. You rely on such information at your own risk.
7.4 Due to the nature of simulated environments, orders may experience slippage, delays, partial fills, or rejections. These reflect realistic trading conditions and do not constitute errors or service failures.
7.5 We do not operate or control the Trading Platform. We are not liable for any disruption, delay, or error caused by third-party systems.
8. Trading Rules and Prohibited Practices
8.1 Compliance with Rules
You must comply with all trading rules, objectives, and parameters specified for your Challenge or Funded Account, including but not limited to:
- (a) Profit targets;
- (b) Daily drawdown limits;
- (c) Maximum drawdown limits (trailing or static, as applicable);
- (d) Any other rules published on our website.
8.2 Prohibited Trading Practices
The following activities are strictly prohibited ("Prohibited Trading"):
- (a) Exploiting errors: Taking advantage of platform errors, latency, delays in price updates, or other technical issues;
- (b) Arbitrage: Exploiting price discrepancies between platforms, feeds, or markets;
- (c) High-frequency trading (HFT): Using automated systems for ultra-high-speed trading;
- (d) Tick scalping: Executing trades to capture minimal price movements exploiting platform latency;
- (e) Grid trading: Placing multiple orders at predetermined intervals without genuine market analysis;
- (f) Hedging across accounts: Opening opposite positions on the same instrument across multiple accounts (yours or others');
- (g) Account sharing: Allowing third parties to access or trade on your Account;
- (h) Copy trading between accounts: Replicating trades between your accounts or with other users to manipulate outcomes;
- (i) News trading abuse: Trading during major news events in a manner designed to exploit platform limitations;
- (j) Gambling behaviour: Placing excessively large positions relative to account size without risk management;
- (k) Account rolling: Intentionally breaching accounts to obtain new Challenges;
- (l) Using insider or non-public information;
- (m) Any strategy that does not reflect genuine trading skill or that could harm Velotrade financially or reputationally.
8.3 Expert Advisors (EAs)
Use of Expert Advisors (automated trading software) is permitted, subject to:
- (a) EAs must not engage in Prohibited Trading;
- (b) You remain fully responsible for all trades executed by EAs;
- (c) We reserve the right to restrict or prohibit specific EAs.
8.4 Consequences of Breach
If you engage in Prohibited Trading or breach trading rules:
- (a) We may remove offending trades from your history;
- (b) We may fail your Evaluation or terminate your Funded Account;
- (c) We may withhold or forfeit pending Payouts;
- (d) We may terminate your Account without refund;
- (e) We may restrict your access to future Services;
- (f) We may pursue legal remedies.
We reserve sole discretion to determine what constitutes Prohibited Trading.
9. Account Breach and Termination
9.1 Your Challenge or Funded Account will be considered "breached" if:
- (a) You exceed the daily drawdown limit;
- (b) You exceed the maximum drawdown limit;
- (c) You engage in Prohibited Trading;
- (d) You breach any other material term of these Terms.
9.2 Upon breach:
- (a) Your access to the Trading Platform will be terminated;
- (b) You will not be entitled to any Payout;
- (c) No refund of Fees will be provided.
9.3 You may voluntarily close your Account at any time by contacting us. No refunds will be provided for unused Services.
10. Intellectual Property
10.1 All content, materials, software, trademarks, logos, and intellectual property on our website and Services are owned by or licensed to Velotrade and are protected by applicable intellectual property laws.
10.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes in accordance with these Terms.
10.3 You must not:
- (a) Copy, modify, distribute, or create derivative works from our content;
- (b) Reverse engineer, decompile, or disassemble any software;
- (c) Remove any proprietary notices or labels;
- (d) Use our trademarks without written permission;
- (e) Scrape, crawl, or harvest data from our website.
11. Confidentiality
11.1 You must keep confidential all non-public information relating to Velotrade, the Services, and these Terms.
11.2 You must not disclose your Account credentials, trading performance data (except for personal use), or any proprietary information about our systems.
12. Privacy and Data Protection
12.1 We collect, use, and process personal data in accordance with our Privacy Policy.
12.2 By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.
12.3 We may record communications (including emails and support chats) for quality assurance, training, and dispute resolution purposes.
13. Limitation of Liability
13.1 To the fullest extent permitted by law:
- (a) The Services are provided "as is" and "as available" without warranties of any kind, express or implied;
- (b) We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- (c) We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses.
13.2 To the fullest extent permitted by law, Velotrade and its directors, officers, employees, agents, and affiliates shall not be liable for:
- (a) Any indirect, incidental, special, consequential, or punitive damages;
- (b) Loss of profits, revenue, data, or business opportunities;
- (c) Any damages arising from your use of or inability to use the Services;
- (d) Any conduct or content of third parties;
- (e) Any unauthorised access to or alteration of your data.
13.3 Our maximum aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the Fees you have paid to us in the 12 months preceding the claim.
13.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Velotrade and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or relating to:
- (a) Your use of the Services;
- (b) Your breach of these Terms;
- (c) Your violation of any law or rights of a third party;
- (d) Your trading activities;
- (e) Any content you submit or transmit through the Services.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@velotrade.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 days.
15.2 Arbitration
If the dispute cannot be resolved informally within 60 days, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of arbitration.
- (a) The arbitration shall be conducted by a single arbitrator;
- (b) The seat of arbitration shall be Hong Kong;
- (c) The language of arbitration shall be English;
- (d) The arbitrator's decision shall be final and binding.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
15.4 Injunctive Relief
Nothing in this clause prevents Velotrade from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.
17. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government action, pandemics, power failures, internet or telecommunications failures, or exchange or market disruptions.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and Velotrade regarding the Services.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
18.5 Notices
Notices to you may be sent via email to the address associated with your Account or posted on our website. Notices to us must be sent to legal@velotrade.com.
18.6 Language
These Terms are drafted in English. In the event of any conflict between translated versions and the English version, the English version shall prevail.

Schedule 1 — Restricted Territories
The following jurisdictions are Restricted Territories. Residents, citizens, or persons located in these jurisdictions may not use the Services:
North Korea, Iran, Syria, Cuba, Crimea, Donetsk, Luhansk, and any other jurisdiction designated under applicable sanctions laws.
